Job Purpose:

The Contract Manager at TD SYNNEX oversees the review and approval of all contractual documents to protect the company's contractual posture, respond to customer requirements, and adhere to TD SYNNEX's policies.

Supports the legal affairs of the organization as directed by the Transactional Legal group's management team, managing legal issues with limited supervision.

Responsibilities:

  • Reviews and manages European Vendor and Customer Agreements, supporting the Eastern Region.
  • Utilizes sophisticated negotiation skills and influence to direct and control contract negotiations, meeting established milestones and objectives.
  • Maintains effective knowledge of company products and service offerings.
  • Maintains a client-focused approach, balancing business needs for profitability with ensuring contractual terms and conditions protect the company and minimize risk.
  • Supports TD SYNNEX's Legal department systems and tools, actively encouraging their use throughout the organization.
  • Understands the roles and responsibilities of all relevant company employees, drawing upon expertise to achieve business objectives.
  • Provides regular input into the development and maintenance of standard contract templates and pre-approved alternative language.
  • Participates in the global legal services team, providing input in policy development, project work, and implementing initiatives and directives within the organization.
  • Advises on legal aspects of TD SYNNEX's transactional business, using sound legal and business judgment and experience.
  • Collaborates or cooperates with local management teams, global legal services teams, and outside legal counsel in various matters.
  • Participates in cross-regional/global negotiations.

Knowledge, Skills, and Experience:

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.

  • A previous experience in the practice of commercial/corporate/contract law is required, with an emphasis on commercial buy/sell transactions. Preference for in-house experience handling complex contractual review and negotiation matters.
  • A qualified legal degree from a certified educational institution or related degree is required.
  • A qualified and admitted lawyer in at least one jurisdiction, with such qualification/admission in good standing.
  • Advanced level of English and Polish, with additional languages desirable.
  • Able to work effectively in a multi-tasking environment and to work constructively under stress and pressure.
  • Able to build solid, effective working relationships with others and to coach others in the development of their skills.
  • Able to negotiate persuasively and effectively.
  • Able to conduct in-depth research into applicable laws and judicial decisions and to make appropriate recommendations of actions to take.
  • Strong analytical and problem-solving skills.
  • Able to communicate legal research information clearly and concisely to others.
  • Able to make sound legal decisions.
  • Able to interact positively and effectively with others at various levels within the organization and outside parties.
  • Able to identify needs and opportunities and develop action plans to address.
